Terms of Service

Effective Date: July 10, 2026

These terms govern your use of orregisteredagent.org (the "Site") and enrollment in our registered agent service (the "Service"), provided by OR Registered Agent.org ("we," "us," "our"). By browsing the Site or signing up for the Service, you agree to what's below.

1. What's Included

• A physical Oregon street address that satisfies the state's registered agent requirement
• Acceptance of service of process, lawsuits, subpoenas, and official Oregon state correspondence at that address during business hours
• Same-day scanning and portal upload of documents received on your behalf
• A secure online document portal
• Reminders ahead of your Oregon annual report deadline and other filing dates

We're a document filing and registered agent service — not a law firm, and not a substitute for legal or tax advice.

2. Who Can Enroll

You must be 18 or older and authorized to act for the entity you're enrolling. The entity name, contact information, and formation details you give us at signup need to be accurate, and you're responsible for keeping them current.

3. Pricing

• Registered agent service is $99 per year, billed at signup and each renewal
• LLC formation, if purchased, is a separate flat $199 one-time fee — it does not include the ongoing $99/year agent service
• Any Oregon Secretary of State filing fee (formation, annual report, agent-change filings) is paid directly to the state and is never bundled into our $99 or $199
• We'll give at least 30 days' notice before any price change reaches your account

4. Billing and Renewal

• Your payment method on file is charged at enrollment and on each renewal date
• Coverage renews automatically unless cancelled beforehand
• A declined charge may pause the Service until it's resolved; we'll contact you first
• We don't generally refund partial, unused service periods, though unusual situations are reviewed case by case

5. Cancelling

Email support@orregisteredagent.org to cancel ahead of your renewal date. Cancellation takes effect at the end of your current paid term. After cancelling, it's your responsibility to name a new registered agent with the Oregon Secretary of State so your entity stays in good standing.

6. Your Responsibilities

• Keep your entity and contact information accurate and current
• Check your portal regularly and act on scanned documents promptly — a document going unread doesn't pause a legal deadline
• Maintain your entity's good standing independent of anything we do
• Use our address for its registered-agent purpose only, not as a general business mailing address

7. How We Handle Mail

• We accept deliveries during normal business hours, Monday through Friday, 9 AM to 5 PM Pacific
• Service of process and official state correspondence are scanned and posted to your portal the same business day, with no volume cap
• General business mail gets the same free scan treatment for your first three pieces each calendar year; beyond that allowance, or if you'd rather receive a physical original by mail instead of just a scan, it's a separate per-piece charge — never bundled free into the base $99
• We don't accept packages, and we aren't responsible for the legal effect or content of anything delivered to us
• Physical originals are held for a limited period after scanning, then securely destroyed unless you've requested physical forwarding

8. Not Legal Advice

Nothing on this Site or communicated by us is legal advice. For guidance specific to your business, consult a licensed Oregon attorney.

9. Limitation of Liability

To the extent Oregon law allows:

• Our total liability for any claim related to the Service is capped at what you paid us in the prior 12 months
• We're not liable for indirect, incidental, or consequential damages
• We're not responsible for delays from events outside our control, including postal disruptions, severe weather, or government shutdowns

10. Indemnification

You agree to defend and hold us, our owners, and our staff harmless from third-party claims or costs, including reasonable attorney fees, arising from your use of the Service or a breach of these Terms.

11. Governing Law

These Terms are governed by Oregon law, and disputes are handled in Oregon courts.

12. Changes to These Terms

We may update these Terms at any time. The current version is posted here with its effective date; continuing to use the Site afterward means you accept the changes.

13. Severability

If any provision of these Terms is found unenforceable, the rest remains in effect.

14. Entire Agreement

These Terms, along with our Privacy Policy, make up the complete agreement between you and OR Registered Agent.org regarding the Service.
